Terms of Service

These terms govern your use of the Portcart platform. By using any part of the platform, you agree to these terms. Please read them carefully.

The agreement

These Terms of Service form a binding agreement between you and Vee Bee Solutions & Services Pvt Ltd. If you are accessing Portcart on behalf of a mall operator, airport, brand, retailer, restaurant, or any other organisation, you confirm that you have authority to bind that organisation to these terms.

The service

Portcart is an arena experience platform for shopping malls, airports, brands, retailers, restaurants, leasing teams, marketing teams, and shoppers. The platform includes arena landing pages, a brand directory, a service master, zone and floor management, coupons and vouchers, loyalty, communication campaigns, leasing flows, dashboards, analytics, and related modules.

Specific modules made available to your organisation depend on the plan, the contract you have signed, and the rollout phase you are currently in.

Accounts and access

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us promptly of any unauthorised access. We reserve the right to suspend or terminate accounts that violate these terms or present a security risk.

Acceptable use

You agree not to use the platform to:

  • Violate applicable law, including intellectual property, privacy, and consumer protection law.
  • Upload content that is unlawful, defamatory, infringing, or misleading.
  • Send unsolicited bulk communications or spam through the platform.
  • Interfere with the integrity, security, or performance of the platform.
  • Reverse engineer, decompile, or attempt to extract the source code of the platform.
  • Misrepresent the origin or ownership of content displayed on the platform.

Operator-controlled content

Mall operators, airport operators, brand admins, and retail admins control the content they publish through the platform, including brand listings, offers, vouchers, events, services, zone information, and campaigns. The operator is responsible for the accuracy, legality, and appropriateness of that content.

Portcart provides workflows and approval flows to help operators manage content responsibly, but we do not pre-screen every piece of content. We may remove content that violates these terms or that is reported as unlawful or harmful.

Payments and fees

If your plan includes a paid subscription, you agree to pay the fees set out in your contract or order form, including any taxes and statutory charges. Fees are generally non-refundable unless the contract specifies otherwise. We may change fees with reasonable notice for upcoming renewal periods.

Third-party integrations

The platform may integrate with third-party services such as POS systems, ADSR providers, voucher providers, payment gateways, lounge access systems, gift card networks, ERPs, CRMs, and analytics tools. Your use of those services is governed by the respective third-party terms. Portcart is not responsible for the performance of integrated third-party services.

Intellectual property

The platform, including its software, design, branding, and content owned by Portcart, is protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable right to use the platform during the term of your subscription. All rights not expressly granted are reserved.

Confidentiality

Each party agrees to keep confidential any non-public information shared by the other party in connection with the platform, and to use it only for the purposes of the agreement.

Disclaimers

The platform is provided on an "as is" and "as available" basis. We do not warrant that the platform will be uninterrupted, error-free, or secure against every threat. To the maximum extent permitted by law, we disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the platform. The aggregate liability of Portcart for any claim under this agreement is limited to the fees paid by the customer in the twelve months preceding the event giving rise to the claim.

Termination

Either party may terminate the agreement for material breach if the breach is not cured within a reasonable cure period. On termination, you must stop using the platform, and we will assist with reasonable export of your data within a defined window.

Governing law and jurisdiction

This agreement is governed by the laws of India. Subject to any arbitration clause in your contract, the courts of Navi Mumbai, Maharashtra will have exclusive jurisdiction over any disputes arising under or in connection with this agreement.

Changes to these terms

We may update these terms from time to time. The "Last updated" date at the top reflects the most recent revision. Continued use of the platform after an update constitutes acceptance of the updated terms.
